Vince Louwagie and Cory Olson co-presented Liability Under Federal and State Securities Laws – For the Company and for You, the Attorney as part of the MN CLE’s Advanced Business Series seminar “Securities Law 2023: Practical Guidance for Business Lawyers and In-House Counsel” on December 7, 2022.
Vince and Cory spoke about the kinds of liability that exist for violations of federal and state securities laws; the exposure of a company and its officers to substantial civil and criminal penalties, disgorgement, and other monetary and criminal sanctions, including imprisonment. They also discussed the powers that federal and state regulators have over issuers, their officers and directors, and their lawyers for violations of the Securities Act, the Exchange Act, Sarbanes Oxley and various state laws. Finally, they outlined lawyers’ responsibilities and potential liabilities in this highly regulated area.
